UserInfinity

Terms & Conditions

Effective August 2026

1. Agreement to terms

By creating an account, accessing, or using the UserInfinity platform (the "Service"), you agree to be bound by these Terms & Conditions (the "Terms") and our Privacy Policy . If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, you must not use the Service.

2. Definitions

For clarity throughout these Terms:

  • "UserInfinity", "we", "us" — the operator of the Service.
  • "Workspace" — a tenant within the Service belonging to a customer or business.
  • "Member" / "Employee" — an individual a customer adds to a Workspace, including staff scheduled within Workforce & Scheduling.
  • "Your Content" — any data, files, text, designs, employee records, or other material you submit to the Service.
  • "Plan" — the subscription tier governing your features, limits, and pricing.

3. Eligibility & account registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access. You may grant access to other users (such as managers and employees) under role-based permissions; you remain responsible for their use of the Service.

4. Plans, billing & metered pricing

The Service is offered under Free and paid Plans. Paid Plans are billed in advance on a recurring (monthly or annual) basis. Certain products — including Workforce & Scheduling — are metered primarily by the number of active employees per billing month , plus any per-business or usage components described at checkout. Metered charges are calculated at the end of each billing period based on actual usage.

Fees are exclusive of taxes, which you are responsible for. All charges are non-refundable except as required by law or as expressly stated in these Terms. You authorize us (and our payment processors) to charge your payment method for all fees as they become due. If a charge fails, we may suspend access until payment is resolved. We may change pricing with at least 30 days' notice before your next renewal.

5. Free trials & cancellation

We may offer free trials or a Free Plan. Unless you cancel before a trial ends, you may be automatically enrolled in the corresponding paid Plan and charged. You can cancel a paid subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain access until then. We do not provide prorated refunds for partial periods unless required by law.

6. Acceptable use

You agree not to misuse the Service. You will not, and will not permit others to:

  • Violate any law, regulation, or third-party right, including intellectual-property, privacy, and employment laws.
  • Upload malware, attempt to breach security, probe, or disrupt the Service or its infrastructure.
  • Publish unlawful, deceptive, harassing, hateful, or infringing content, or send spam.
  • Reverse-engineer, resell, or create derivative platforms from the Service except as permitted.
  • Use the Service to surveil employees unlawfully or without legally required notice and consent (see Section 9).

We may investigate violations and cooperate with law enforcement where appropriate.

7. Your content & intellectual property

You retain all ownership of Your Content. You grant UserInfinity a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Your Content solely as needed to operate, secure, and improve the Service and to provide it to you. You are responsible for having all rights and consents necessary for Your Content, including any personal data of employees or third parties.

UserInfinity and its licensors own all rights to the Service, including its software, design, templates, and trademarks. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8. UserInfinity AI

UserInfinity AI may route your requests to one or more third-party or first-party AI models and return generated output ("AI Output"). AI Output is generated probabilistically and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and verifying AI Output before relying on it, and for ensuring its use complies with applicable law. We do not warrant that AI Output is accurate, original, or non-infringing.

You must not submit content to UserInfinity AI that you lack the right to share, and you must not use it to generate unlawful, harmful, or deceptive material. Your inputs and outputs may be processed by underlying model providers subject to our Privacy Policy . How we handle AI data is explained in our AI Transparency page. As between you and us, you own your inputs, and, to the extent permitted by law, the AI Output generated for you.

9. Workforce & Scheduling — employee data, time tracking & location

Workforce & Scheduling lets you build rosters, deliver schedules, track time, and export payroll data. Where you enable features such as geofenced clock-in, location capture, or device pairing , you act as the data controller for your employees' personal data and are solely responsible for:

  • Providing legally required notice to employees about time, attendance, and location tracking;
  • Obtaining any consent required by applicable employment and privacy law;
  • Ensuring the lawful basis, accuracy, and appropriate retention of employee records, pay rates, and payroll exports; and
  • Complying with wage-and-hour, overtime, break, and record-keeping laws in each jurisdiction where your staff work.

UserInfinity provides these tools "as configured by you" and is a data processor acting on your instructions. Calculated figures (paid hours, overtime, coverage, labor cost, and payroll estimates) are provided for convenience and must be verified by you before use in payroll or compliance decisions.

10. Privacy & data protection

Our handling of personal data is described in the Privacy Policy , which forms part of these Terms. Where we process personal data on your behalf, the parties will, where required, enter into a data-processing agreement. You are responsible for the lawfulness of the data you submit and for honoring data-subject rights for your Members and customers.

11. Third-party services & integrations

The Service integrates with third-party providers (for example payments, email, authentication, storage, and AI model providers). Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, or availability. Connecting an integration authorizes the exchange of relevant data between the Service and that provider.

12. Service availability & support

We strive to keep the Service available and reliable, but it is provided on an "as available" basis. We may perform maintenance, modify, or discontinue features. Any service-level commitments apply only if expressly stated in a separate written agreement for your Plan. Support is provided through the channels described for your Plan.

13. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, create risk or legal exposure, or for prolonged inactivity on a Free Plan. Upon termination, your right to use the Service ceases. We will make Your Content available for export for a limited period where reasonably practicable, after which it may be deleted in accordance with our retention practices and applicable law.

14. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ALL CONTENT AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any calculations or AI Output will be accurate.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UserInfinity AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless UserInfinity and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your handling of employee or customer data, or your breach of these Terms or applicable law.

17. Changes to the Service & these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product notice) before they take effect. Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.

18. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which UserInfinity is established, without regard to conflict-of-law rules. The parties will attempt to resolve disputes informally first. Any unresolved dispute will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where mandatory local consumer law provides otherwise. [Insert the specific governing jurisdiction and dispute-resolution venue with your legal counsel.]
